Allgemeine Geschäftsbedingungen
Im Sinne einer partnerschaftlichen Zusammenarbeit
Anwendungsbereich
Die Allgemeinen Geschäftsbedingungen der Firma Huber AG Exhibition Management finden unter Vorbehalt schriftlicher Vereinbarungen auf alle Rechtsverhältnisse zwischen den Parteien Anwendung. Sie gelten für alle Lieferungen der Matrix-Systems GmbH an den Besteller; eingeschlossen auch zukünftige Lieferungen, sofern im Einzelfall keine anderen Vereinbarungen getroffen werden.
Prüfung von Miet- und Kaufgegenständen
Gegenstände der Miete und des Kaufs sind jeweils die in dem Lieferschein aufgeführten Materialien samt Zubehör und Kleinmaterial. Der Mieter oder Käufer hat die Waren bei Übergabe zu prüfen und Mängel sofort geltend zu machen, ansonsten gilt das Material als einwandfrei.
Gebrauch von Mietsachen
Die Mietsache darf vom Mieter nur durch geeignetes und fähiges Bedienungspersonal zum dafür bestimmten Gebrauch und mit der gebotenen Sorgfalt verwendet werden. Auftretende Defekte dürfen nur von Huber AG Exhibition Management selbst oder von einer durch sie bezeichneten Person behoben werden.
Return of the rented items
The rented items must be returned at the agreed time and place. The hirer shall be liable for late return for each day commenced in accordance with the daily rates agreed for the rental without proof of damage by Huber AG Exhibition Management. Huber AG Exhibition Management reserves the right to claim further damages.
Liability of the hirer
The hirer shall be liable for any damage to or defects in the hired item that were not reported at the time of acceptance. It shall also be liable for loss or destruction of the rented item. In such cases, the lessee shall owe Matrix-Systems GmbH not only the full replacement or restoration value, but also any further damage incurred by Huber AG Exhibition Management. In the event of premature return, the tenant shall not be entitled to a partial refund of the rental costs.
Right of ownership of purchased goods
The goods delivered by us remain the property of Huber AG Exhibition Management until the purchase price has been paid in full. The buyer is not authorised to pledge the goods or to assign them to third parties as security.
Insurance of rental material
It is the responsibility of the hirer to insure the materials and accessories against all risks at his own expense.
Prices
The prices of Huber AG Exhibition Management are exclusive of VAT, postage and packaging. For deliveries by post or other delivery services, Huber AG Exhibition Management charges the actual postage or freight costs.
Delivery
The delivery or production conditions are always of a purely informative or indicative nature and can never be a reason for cancellation of the order or for compensation. In the event of complaints about the delivery itself, the buyer can only contact the carrier. Any return of goods is subject to our written authorisation, which must be obtained in advance.
Delivery times and execution deadlines are only binding if they have been expressly confirmed as binding by Huber AG Exhibition Management. Transfer of risk Benefit and risk of the item shall pass to the customer upon conclusion of the contract as soon as the item has been handed over for despatch by Huber AG Exhibition Management. Huber AG Exhibition Management has fulfilled its obligation with the timely and proper dispatch of the item.
Printed products
Sketches, drafts, proofs, samples and similar preparatory work on behalf of the customer shall be invoiced. The risk of possible errors is transferred to the customer when the customer approves the printing, unless the error was caused by technical defects in production (signing of the ‘Good for printing’).
Guarantees
Unless otherwise agreed, the provisions of the Swiss Code of Obligations apply under Swiss law. We provide a 2-year guarantee on hardware and a 1-year guarantee on graphic products. This excludes damage to hardware and graphic products caused by improper handling.
Drawings, Documents, Copyrights
We reserve our ownership and copyright to offers, drawings, presentations, and other documents. They may not be made accessible to third parties without our consent. The customer assumes liability for ensuring that we do not violate any third-party rights (in particular, property, copyright, and reproduction rights) when executing the order.
Applicable Law, Place of Performance, and Jurisdiction
The place of performance for delivery is the place of dispatch. All disputes and legal claims arising from this agreement shall be subject exclusively to the ordinary courts at the registered office of Huber AG Exhibition Management. Swiss law applies.
